General Terms and Conditions (GTC)

2. Scope of Application

These General Terms and Conditions apply to all services, courses, observerships, online trainings, and digital content provided by circle institute GmbH, in particular the use of the CMR-ORBIT platform.

Conflicting or deviating terms of the participant shall not apply unless expressly agreed to in writing.

3. Conclusion of Contract

Registration for events, observerships, or digital services may be completed via the website, by e-mail, or in writing.

By submitting a booking, the participant makes a binding offer to conclude a contract.

The contract is concluded upon:

  • explicit booking confirmation,
  • invoice issuance,
  • activation of digital content,
  • or commencement of the service.

The contract text is stored by circle institute GmbH.

Before submitting the booking, participants may correct input errors at any time.

4. Prices and Payment Terms

All prices are subject to applicable statutory VAT unless otherwise stated.

Payment shall be made using the payment methods offered during the booking process, including Stripe or bank transfer.

Participation fees are due immediately upon conclusion of the contract.

Activation of digital content may depend on full payment.

5. Right of Withdrawal for Consumers

Consumers generally have a statutory right of withdrawal.

A consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes predominantly outside their trade, business, or profession.

The withdrawal policy will be provided separately to the participant.

6. Expiry of the Right of Withdrawal for Digital Content (CMR-ORBIT)

The CMR-ORBIT platform constitutes digital content not supplied on a tangible medium.

The participant expressly agrees that circle institute GmbH may begin performance of the contract before expiry of the statutory withdrawal period, in particular by providing login credentials and activating platform access.

The participant simultaneously acknowledges that, by commencement of contract performance, the statutory right of withdrawal expires.

The right of withdrawal expires upon provision of access credentials to the platform.

Consent is obtained separately during the electronic booking process.

7. Participation Conditions and Cancellation

7.1 MRI Courses

Cancellations must be submitted in text form (e.g., e-mail).

The date of receipt of the cancellation shall be decisive.

The following cancellation fees apply:

  • up to 2 months before the course: free of charge
  • up to 4 weeks before the course: 25% of the participation fee
  • up to 1 week before the course: 50% of the participation fee
  • within the last week before the course: 80% of the participation fee

A substitute participant may be nominated at any time.

7.2 Observerships

The following cancellation fees apply to observerships:

  • up to 3 months before commencement: free of charge
  • up to 2 months before commencement: 20% of the participation fee
  • up to 1 month before commencement: 50% of the participation fee
  • within the last month before commencement: 80% of the participation fee
7.3 CMR-ORBIT Platform

Bookings may be cancelled free of charge prior to the provision of access credentials.

After access credentials have been provided, no right of withdrawal or refund exists, provided that the participant has expressly agreed to the commencement of contract performance before expiry of the withdrawal period.

Access credentials are personal and may not be shared with third parties.

A substitute participant may only be nominated before access credentials have been issued.

8. Usage Rights and Platform Access

Access credentials for the CMR-ORBIT platform are intended exclusively for the registered participant.

Participants are obliged to keep access credentials confidential and not to disclose them to third parties.

All platform content and educational materials, including case examples, image data, videos, tutorials, PDFs, and other materials, are protected by copyright.

In particular, it is prohibited to:

  • reproduce content,
  • distribute content,
  • make content publicly available,
  • share screenshots or screen recordings,
  • publish content on social media or third-party educational materials,
  • or commercially exploit content.

Use is permitted exclusively within the scope of the booked educational service.

In the event of violations, circle institute GmbH reserves the right to:

  • immediately block access,
  • refuse certificates of participation,
  • claim damages,
  • and pursue further legal action.

No refund claim shall arise in such cases.

9. Platform Availability

circle institute GmbH endeavors to ensure uninterrupted availability of the platform whenever possible.

Temporary restrictions due to maintenance work, security updates, or force majeure cannot be excluded.

There is no entitlement to permanent availability.

10. Technical Requirements

Participants are responsible for ensuring that the technical requirements for using the digital services are met.

Recommended requirements include:

  • current web browser,
  • stable internet connection,
  • WebGL-capable device,
  • updated operating system.

11. Changes to Events

circle institute GmbH reserves the right to make organizational changes, including:

  • schedule changes,
  • replacement of lecturers,
  • program adjustments,
  • changes of venue,
  • or conversion into digital formats.

Such changes must be reasonable for participants.

12. Cancellation of Events by circle institute GmbH

circle institute GmbH reserves the right to cancel events, particularly in cases of:

  • insufficient participant numbers,
  • illness of lecturers,
  • technical problems,
  • force majeure,
  • or other unforeseen circumstances.

Participation fees already paid will be refunded.

Further claims shall only exist in cases of intentional misconduct or gross negligence.

13. Liability

circle institute GmbH shall be fully liable:

  • in cases of intent,
  • gross negligence,
  • injury to life, body, or health,
  • and under mandatory statutory provisions.

In cases of slight negligence involving essential contractual obligations, liability shall be limited to foreseeable and typical contractual damages.

Any further liability is excluded.

14. Data Protection

Personal data is processed exclusively in compliance with the General Data Protection Regulation (GDPR).

15. Final Provisions

The laws of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

If the participant is a merchant, legal entity under public law, or special fund under public law, the place of jurisdiction shall be Berlin, Germany.

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.

Side agreements, amendments, or supplements must be made in text form.
